Terms and Conditions
Introduction
These Terms and Conditions (“Agreement”) govern the provision of digital marketing and consulting services by
OME Media Consulting (“we”, “us”, or “the Agency”) to the client (“you” or “the Client”).
By engaging our services, you agree to be bound by these terms.
Please read them carefully.
1. Services
1.1 OME Media Consulting agrees to provide the Client with digital marketing services as outlined in the proposal or service agreement.
1.2 The scope of services, timelines, and deliverables will be detailed in a separate project proposal or agreement provided to the Client.
1.3 Any additional services requested by the Client outside the agreed scope will be subject to additional fees and adjusted timelines.
2. Payment Terms
2.1 All fees and charges will be clearly outlined in the project proposal or service agreement.
2.2 Payments are due as specified in the agreement. Invoices must be paid in full and on time.
2.3 Failure to make payments by the due date may result in service suspension until payment is received.
2.4 The Client agrees to cover additional third-party costs (e.g., ad spend, software licences, media purchases), unless otherwise specified.
3. Client Obligations
3.1 The Client agrees to provide all necessary information, materials, and approvals promptly to facilitate timely service delivery.
3.2 The Client confirms that all content provided (e.g., text, images, brand assets) is either owned or properly licensed and does not infringe on third-party rights.
3.3 Delays in providing required materials or approvals may impact agreed timelines and deliverables.
4. Intellectual Property
4.1 All original materials created by OME Media Consulting (e.g., graphics, content, strategy documents) remain the intellectual property of the Agency until full payment is received.
4.2 Upon full payment, the Client is granted a non-exclusive, non-transferable licence to use the deliverables for their intended business purpose.
4.3 Unless otherwise agreed in writing, OME Media Consulting reserves the right to showcase completed work in its portfolio or promotional materials.
5. Confidentiality
5.1 Both parties agree to keep confidential any proprietary or sensitive information shared throughout the project.
5.2 OME Media Consulting will not use or disclose the Client’s confidential information except as necessary to provide the agreed services.
6. Liability
6.1 We will carry out all services to the best of our ability, but we do not guarantee specific outcomes (e.g., search rankings, conversion rates, or follower growth).
6.2 OME Media Consulting shall not be liable for any indirect, incidental, or consequential damages resulting from the use of our services.
6.3 The total liability for any claim under this Agreement shall not exceed the amount the Client has paid for the relevant services.
7. Termination
7.1 If the Client terminates the contract early, they will remain liable for all services rendered up to the date of termination, as well as any remaining payments due under the signed agreement.
7.2 OME Media Consulting reserves the right to terminate the Agreement immediately if the Client breaches any of its terms.
8. Amendments
8.1 OME Media Consulting may update or modify these Terms and Conditions at any time.
8.2 Clients will be notified of any significant changes. Continued use of our services following such changes will constitute acceptance of the revised terms.
9. Governing Law
This Agreement shall be governed by and interpreted in accordance with the laws of Germany, and any disputes shall fall under the exclusive jurisdiction of DE courts.
10. Force Majeure
OME Media Consulting shall not be held responsible for delays or failures in performance caused by events beyond its reasonable control, including but not limited to natural disasters, government actions, strikes, or acts of war.
11. Entire Agreement
This Agreement, together with any associated project proposals or service-level agreements, constitutes the entire understanding between OME Media Consulting and the Client, superseding all prior discussions, agreements, or understandings.
